AGREEMENT TO OUR LEGAL TERMS

These Terms of Service ("Legal Terms") are entered into by and between you ("you") and Prime Auto Wholesale LLC, doing business as Autora ("Autora," "we," "us," or "our").

We operate a web-based automotive marketplace platform, including any related features, tools, or services that link to these Legal Terms (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Legal Terms. If you do not agree, you must discontinue use immediately.

We may update these Legal Terms from time to time. Material changes will be posted on the Services with an updated "Last Updated" date. Continued use after the effective date constitutes acceptance.


1. OUR SERVICES

Autora provides an online platform that allows users to browse, inquire about, and purchase motor vehicles, and to access related digital tools and services. The Services may facilitate access to third-party services, including vehicle financing, extended warranties, service contracts, delivery coordination, payment processing, and identity verification.

Autora is not a lender, insurer, or warranty provider unless expressly stated in writing. All third-party services are governed by their own terms and conditions.

The Services are offered solely for use within the United States.


2. VEHICLE INFORMATION & AVAILABILITY

Vehicle listings, descriptions, pricing, availability, vehicle history, condition reports, and related information may be obtained from third-party sources and are provided for informational purposes only. We do not guarantee accuracy, completeness, or availability.

All vehicles are subject to prior sale. No vehicle sale is final until all required purchase documents are executed and all funds are received and cleared.

We reserve the right to correct errors, inaccuracies, or omissions and to cancel or modify transactions affected by such errors.


3. USER ELIGIBILITY & REPRESENTATIONS

By using the Services, you represent and warrant that:

  • You are at least 18 years old
  • You have legal capacity to enter into these Legal Terms
  • You will not use automated tools, bots, or scraping technologies
  • You will comply with all applicable laws and regulations
  • Information you provide is accurate, current, and complete


4. ACCOUNTS & SECURITY

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree to notify us immediately of any unauthorized access or security breach. Autora is not liable for losses arising from unauthorized account use caused by your failure to safeguard credentials.

We may suspend or terminate accounts that are compromised, misused, or operated in violation of these Legal Terms.


5. PROHIBITED ACTIVITIES

You agree not to:

  • Circumvent platform safeguards or complete transactions off-platform
  • Misrepresent vehicle ownership, condition, pricing, or identity
  • Sell, transfer, or share your account
  • Scrape, reverse engineer, or exploit platform data
  • Use the Services for unlawful, deceptive, or fraudulent purposes


6. USER SUBMISSIONS

Any feedback, suggestions, or other submissions you provide are non-confidential and may be used by Autora for any lawful purpose without compensation or attribution.


7. ARTIFICIAL INTELLIGENCE TOOLS

The Services may include automated or artificial intelligence–powered tools, including chatbots, designed to provide general information and assist users in navigating the platform ("AI Tools").

AI Tool responses are generated automatically and may be inaccurate, incomplete, or outdated. AI Tools do not provide legal, financial, credit, or purchasing advice and are not a substitute for professional judgment or human review.

You acknowledge and agree that any reliance on information provided by AI Tools is at your own risk. You are responsible for independently verifying all vehicle details, pricing, availability, financing terms, and eligibility before completing any transaction.

Information submitted through AI Tools is handled in accordance with our Privacy Policy.


8. PAYMENTS & AUTHORIZATION

By submitting payment information, you authorize Autora and its payment processors to charge the selected payment method for applicable amounts.

All payments are subject to verification and fraud screening. We may cancel or reverse transactions for suspected fraud, compliance concerns, or payment failure.

Refunds are not provided unless expressly stated in writing. You are responsible for any returned payment or ACH reversal fees imposed by financial institutions.


9. DRIVER'S LICENSE INFORMATION

As part of certain Services, including identity verification, vehicle transactions, financing, delivery, or compliance with legal requirements, you may be required to provide a copy or image of a valid driver's license.

By submitting driver's license information, you represent that the information is accurate, current, and lawfully yours to provide. You consent to our collection, use, and retention of such information for verification, fraud prevention, transaction processing, and compliance purposes, in accordance with applicable law and our Privacy Policy.

Driver's license information is handled securely and is not sold.


10. THIRD-PARTY SERVICES (FINANCING, WARRANTIES, ETC.)

Financing, warranties, service contracts, insurance products, and related services are offered by third-party providers. Autora does not guarantee approval, rates, coverage, terms, or outcomes and is not responsible for third-party acts or omissions.


11. AUTOMOTIVE TRANSACTIONS & DISCLOSURES

Vehicle purchases are governed by separate written agreements, including retail purchase agreements, installment contracts, Buyers Guides, and legally required federal and state disclosures.

In the event of any conflict, those executed documents control. Vehicles may be sold AS-IS unless otherwise stated in writing.


12. COMMUNICATIONS & SMS CONSENT

By providing your contact information, including your phone number, you consent to receive transactional and, where applicable, marketing communications, including via automated technology.

Consent is not a condition of purchase. Message and data rates may apply. You may opt out of SMS messages at any time by replying "STOP."


13. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. We may suspend or terminate access at our discretion for any violation of these Legal Terms or applicable law.


14. MODIFICATIONS AND INTERRUPTIONS

We may modify, suspend, or discontinue any portion of the Services at any time. We are not liable for interruptions, delays, or unavailability.


15. INTELLECTUAL PROPERTY & DMCA

All content, software, design, text, graphics, logos, and functionality are owned by Autora or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes.

16. GOVERNING LAW

These Legal Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.


17. DISPUTE RESOLUTION

Informal Resolution

The parties agree to attempt informal resolution for 30 days before initiating arbitration.

Binding Arbitration

Unresolved disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

  • Autora will pay arbitration fees deemed excessive or prohibitive.

Small Claims

Either party may bring an individual claim in small claims court if eligible.

Class Action Waiver

Claims must be brought individually. Class, collective, or representative actions are waived to the extent permitted by law.

Arbitration Opt-Out

You may opt out of arbitration within 30 days of first accepting these Legal Terms by emailing support@autora.com or mailing written notice to our address. Opting out does not affect your ability to use the Services.


18. DISCLAIMER

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

You are responsible for independently verifying vehicle details, financing terms, and suitability prior to completing any transaction.


19. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Autora's total liability shall not exceed the lesser of:

  • The amount paid by you to us, or
  • $500 USD

We are not liable for indirect, incidental, consequential, or punitive damages.


20. INDEMNIFICATION

You agree to indemnify and hold harmless Autora from claims arising out of your use of the Services or violation of these Legal Terms.


21. PRIVACY

Personal data is handled in accordance with our Privacy Policy.


22. FORCE MAJEURE

Autora is not liable for failure or delay caused by events beyond reasonable control, including natural disasters, government actions, labor disputes, internet failures, or third-party service outages.


23. ASSIGNMENT

Autora may assign these Legal Terms without restriction. You may not assign without our written consent.


24. SURVIVAL

Sections relating to arbitration, limitation of liability, indemnification, governing law, intellectual property, and privacy survive termination.


25. NOTICE TO CALIFORNIA RESIDENTS

26. MISCELLANEOUS

These Legal Terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect. No partnership, agency, or joint venture is created. Nothing herein limits rights that cannot be waived under California law.
